What is a lead plaintiff deadline?
A lead plaintiff deadline is the last day an investor can ask the court to be appointed lead plaintiff in a securities class action, the investor who directs the case on behalf of the class. It is set by the Private Securities Litigation Reform Act. It is not a deadline to join the class, and it is not a deadline to be paid.
How is the lead plaintiff deadline calculated?
The first investor to file a securities class action must publish a notice within 20 days of filing. Any class member then has 60 days from the date that notice is published to move to be appointed lead plaintiff, under 15 U.S.C. §§ 77z-1(a)(3) and 78u-4(a)(3). The deadline runs from the published notice, not from the filing date.
Do I need to do anything by the lead plaintiff deadline?
No. If a class is certified, investors who meet the class definition are ordinarily included without taking any action. The deadline applies only to an investor who wants to ask the court to lead the case. Choosing not to seek that role costs an investor nothing as a class member.
What happens if the lead plaintiff deadline passes?
Investors who bought during the class period may still be class members after the deadline passes. A passed deadline affects only who can ask the court to lead the case. To receive money from any settlement, a class member ordinarily must still submit a claim form by a later, separate deadline.
