Firm case

LaChance v. TruGolf Holdings, Inc., et al.

NASDAQ: TRUG · D. Utah · 1:26-cv-00119-JNP-CMR · filed July 24, 2026

The complaint alleges that defendants misrepresented or failed to disclose that holders of TruGolf's Series A Convertible Preferred Stock were continuously converting into Class A shares at floating and ratcheting conversion prices, causing substantial ongoing dilution, and that TruGolf's April 15, 2026 Form 10-K overstated its outstanding Class A shares by 480,504 shares, or approximately 52%. The complaint alleges that the financing and related misstatements contributed to a decline of more than 98% in the split-adjusted price of TruGolf's Class A common stock.

Public records

Pending cases

Pending securities class actions with reported lead plaintiff deadlines, and mass tort litigation still open to new filings. Compiled as of September 11, 2026.

Unless marked Firm case, the firm is not counsel in these cases. Descriptions of filed cases summarize allegations in court complaints; allegations are not findings. Verdicts and settlements in other people's cases do not predict the outcome or value of any other claim. Deadlines are compiled from public notices and dockets and are not verified against the statutory notice; confirm any date on the court docket before relying on it.

What a lead plaintiff deadline means. It applies only to an investor who wants to ask the court to appoint them lead plaintiff, and it runs 60 days from publication of the statutory notice under 15 U.S.C. §§ 77z-1(a)(3) and 78u-4(a)(3). You do not need to do anything by that date to remain a member of any class that may be certified. Three things matter later: to receive money from a settlement you will ordinarily need to submit a claim form by a deadline; if you do not exclude yourself by the deadline in the court's notice, you are bound by the result; and statutory time limits may run regardless of the class action, so anyone considering an individual case should get advice promptly.
